Mirador International LLC v MF Global UK Ltd

Nature of case:
The Court was required to rule on the proper construction of a brokerage agreement, and whether it entitled the Mirador to commission on accounts introduced to the MF Global before the incorporation of the Mirador, or the inception of the agreement.

Affirming the decision of the trial judge, the majority held that it would have been absurd to draw a distinction between accounts introduced during the transition period and those introduced after the agreement was executed, and the parties could not have intended that to be the effect of the agreement.
